By-Laws of The Villages Art League
ARTICLE I – NAME
Section 1: The name of the organization shall be The Villages Art League.
ARTICLE II – OBJECTIVE
Section 1: The object of the Villages Art League shall be to encourage all forms of Fine Arts and its appreciation throughout the area.
Section 2: This is a non-profit organization; no part of the net earnings shall be used for the benefit of any member; no member shall be entitled to share in distribution of any of the assets upon the dissolution of this club. In the event of the League dissolution, the assets shall be given to art educational purposes, at the discretion of the presiding officers.
ARTICLE III – MEMBERSHIP
Section 1: The membership of the League shall be composed of artists and others interested in promoting its objective.
Section 2: Any resident of The Villages, upon payment of dues, shall be admitted to membership.
Section 3: The membership shall consist of Active and Life Members. Persons may be elected Life Membership for performing distinguished service to the League, or for promotion of Art. Founding members, those whose membership dates from 1989 to 1990, will be made Life Members.
ARTICLE IV – OFFICERS
Section 1: The officers of the League shall be President, Vice-President, Secretary, and Treasurer.
ARTICLE V-NOMINATIONS AND ELECTIONS
Section 1: The President shall appoint three members to form a Nominating Committee, at the October meeting.
Section 2: This committee shall prepare a nomination ballot and nominate one candidate for each office. This ballot shall be presented at the regular meeting in November.
Section 3: Additional nominations may be made from the floor with consent of the nominee. If two candidates are presented for one office, elections shall be by written ballot; a majority voice shall elect. When there is but one candidate for office, election may be made by acclamation.
Section 4: Election of officers shall be when the slate of officers is presented at the regular meeting in November. They will assume their positions effective January 1 of the following year.
Section 5: The term of office for each officer shall be for one year; reelection to hold the same office the second year in succession is in order. A member may hold the same office for one or two years after an interim of one or more years. No member shall hold more than one office at the same time.
ARTICLE VI – DUTIES OF ELECTED OFFICERS
Section 1: The President shall preside at all meetings of the League and shall perform such other duties as the office shall require: appoint such standing committee Chairs, such as Show, Publicity, Historian, Program, Sunshine, Refreshment and other special committees when needed.
Section 2: The Vice-President shall preside at meetings during the absence of the President. The Vice-President replaces the President in case the President vacates the chair.
Section 3: The Secretary keeps a record of all proceedings at each meeting assisting the President when needed. When the President and Vice-President are absent it is the Secretary’s duty to call the meeting to order and preside until a temporary Chair is appointed.
Section 4: The Treasurer shall take care of the League’s funds from whatever source is received, pay all obligations, keep accurate records and give a report at each regular meeting.
Section 5: Duties of Committees:
- The Show Chair shall be in charge of the annual shows held during the year and shall appoint an assistant.
- A Chair of the Artist of The Month exhibits shall be in charge of Art Displays in public places.
- The Publicity Chair shall inform the community of all League activities though the press, television, radio, and local clubs.
- The Historian shall collect articles on activities of the League from newspapers for the club scrapbook. Additional clippings found by members should be passed onto the Historian. Clippings must include the name of the publication, page and dateline.
Section 1: Regular meetings shall be held on the first Monday of each month at 9:00AM in the Fox Glove Room at the Saddlebrook Recreation Center.
Section 2: The President may call special meetings. Each member shall be notified by local phone calls and e-mails. The President will designate the places of said meetings.
ARTICLE VIII – ORDER OF BUSINESS
Section 1: Call to order, reading and approval of Secretary Minutes, Treasurer’s report, report of Standing Committees, Report of Special Committees, Unfinished Business, New Business, Adjournment and Program and/or Social Hour.
ARTICLE IX – DUES
Section 1: Dues of Active Members shall be set by the Officers and approved by the membership at the Annual Meeting in January.
Section 2: Dues shall be payable at the Annual Meeting in January.
ARTICLE X – CHANGE IN BY-LAWS
Section 1: These By-Laws, and Article or Section of Article may be amended by a two-thirds vote at any regular meeting of the League, provided that such changes have been read at a previous regular meeting and notices have been sent to the membership one week in advance stating that changes to the By-Laws will be voted on and stating the date and place.
ARTICLE XI – PRESIDENTIAL VOTING
Section 1: When the ballot is used, the President shall vote.
Section 2: When the vote is not secret, the President does not vote, with one exception. Exception: In the case of a tie, the President may break the tie by voting.
By-Laws were amended on 10/7/2019 by membership vote to bring the Article V-Nominations and Elections dates to coincide with the fiscal year of the VAL.
